Terms of Service
Last updated: 18 September 2026
These Terms govern your use of Overlap.
Overlap is a service operated by Oxolot Consulting, registered in France under SIREN 904 079 761.
By creating an account or using Overlap, you agree to these Terms.
1. What Overlap does
Overlap is a private service designed to help people discover meaningful intersections between ideas, problems, expertise and perspectives.
Users can submit private ideas or problems called “Drops.”
Overlap may use automated systems to identify potentially relevant connections between Drops and users.
A potential match does not automatically introduce two people. Participants decide independently whether they want to connect.
When the required participants both agree, a private Match Room may open.
2. Eligibility
You must be at least 18 years old to use Overlap.
You must provide accurate account information and must not impersonate another person or create an account on somebody else's behalf without authorization.
You are responsible for maintaining the security of your account.
3. Your ideas remain yours
You retain ownership of the ideas, problems, messages and other original content you submit to Overlap.
Submitting a Drop does not transfer ownership of your idea to Oxolot Consulting or Overlap.
You give Overlap a limited, non-exclusive, worldwide and royalty-free right to host, store, technically process, analyze and reproduce your content only as reasonably necessary to operate and secure the service, provide matching, generate match invitations, operate Match Rooms and comply with applicable law.
This does not give Overlap ownership of your ideas.
4. Privacy is not an NDA
Overlap is designed to prevent general public browsing of private Drops and to limit information revealed before mutual consent.
However, using Overlap does not create a non-disclosure agreement between users.
Overlap is not a substitute for an NDA, patent application, legal advice or other intellectual-property protection.
You should obtain appropriate professional advice before submitting trade secrets, patent-sensitive inventions or particularly valuable confidential information.
You must not submit confidential information belonging to an employer, client or third party unless you are entitled to do so.
5. Matching and AI
Overlap may use artificial intelligence, semantic analysis, embeddings and other automated technologies to identify possible connections.
Matching is probabilistic and may be imperfect.
Overlap does not guarantee that you will receive a match or that any match will lead to a useful conversation, collaboration, investment, commercial relationship, employment relationship or other outcome.
A match is an opportunity to explore a conversation, not an endorsement of another person.
6. Mutual consent
A potential match does not automatically reveal both participants.
Where mutual consent is required, each participant decides independently whether to proceed.
Before mutual consent, Overlap intends to limit identifying information and access to the other participant's full Drop.
When both participants agree, additional information may be revealed within the Match Room.
7. Companies
Companies and organizations may use Overlap to submit problems and participate in matches.
A company account does not receive the right to browse, search, scrape or inspect the general collection of private individual Drops.
Access to individual content may occur only through functionality specifically provided by Overlap and subject to the relevant matching and consent process.
8. Match Rooms
A Match Room allows participants to communicate after a successful mutual match.
Users are responsible for their own conversations, meetings, agreements and decisions.
Overlap and Oxolot Consulting do not automatically become a party to any agreement made between users.
If users choose to collaborate, invest, license intellectual property, create a company, purchase services, hire one another or enter another commercial arrangement, they are responsible for their own due diligence and legal arrangements.
9. Acceptable use
You must not use Overlap to violate applicable law, infringe intellectual-property or privacy rights, impersonate other people, harass or threaten users, distribute malware, obtain unauthorized access, scrape private information, bypass privacy or access controls, manipulate the matching system, or use the service in a way intended to harm Overlap or other users.
We may suspend or terminate accounts where reasonably necessary to address serious abuse, security threats or violations of these Terms.
10. AI-generated content
Overlap may generate match explanations, summaries, questions, suggestions or other content using artificial intelligence.
AI-generated content may be wrong, incomplete or misleading.
You remain responsible for your decisions and should not treat AI-generated output as legal, financial, medical, investment or other professional advice.
11. Beta status
Overlap may be offered as a beta or early-access service.
During this period, features may change, fail, be removed or behave unexpectedly.
Matching quality and product functionality may evolve as the service is developed.
12. Paid services
Overlap may introduce optional paid products such as Overlap Plus and plans for companies.
Any price, renewal period and material restrictions relating to a paid service will be disclosed before a purchase is made.
Additional payment terms may apply when paid functionality is introduced.
13. Ending conversations
Where Match Rooms can be closed or ended, the interface may allow a participant to end the shared conversation.
Closing a Match Room does not erase information another participant has already legitimately received or seen.
14. Account termination
You may stop using Overlap at any time.
We may restrict, suspend or terminate an account where reasonably necessary to protect users or the service, comply with law or address serious violations of these Terms.
15. Availability
We aim to provide a reliable service, but we do not guarantee that Overlap will always be available, uninterrupted or error-free.
Features may be changed or discontinued as the product develops.
16. Liability
To the extent permitted by applicable law, Oxolot Consulting is not responsible for indirect losses arising solely from failed matches, unsuccessful collaborations, another user’s conduct or business decisions made after users connect.
Nothing in these Terms limits liability where doing so would be prohibited by applicable law or removes mandatory consumer rights.
We will finalize any specific monetary liability provisions before introducing paid services.
17. Intellectual property belonging to Overlap
The Overlap software, design, branding, interfaces, matching technology and other materials created for the service belong to Oxolot Consulting or its licensors.
These Terms do not transfer those rights to users.
This does not affect your ownership of your own Drops or messages.
18. Changes to these Terms
We may update these Terms as Overlap develops.
If changes are material, we will provide appropriate notice.
19. Governing law
These Terms are governed by French law, without removing any mandatory rights users may have under applicable consumer or data-protection law.
